Ladd Hirsch and Jason Fulton will be making a joint presentation at the Texas Society of Certified Public Accountants Business Valuation, Forensic & Litigation Services Conference. Their presentation is titled, “Brave New World: Life for Minority Shareholders After Texas Supreme Court Ruling in Ritchie vs. Rupe, and will review the competing rights and duties of minority and majority shareholders in Texas private companies following the Supreme Court’s decision in Ritchie vs. Rupe last year, which largely eliminated the claim for minority shareholder oppression. They will discuss the new legal battleground between minority and majority shareholders, and particular focus will be given to claims by minority shareholders filed in a derivative capacity under the Texas Business Organizations Code.
